SokoRahisi Terms & Conditions

IMPORTANT: These Terms & Conditions are provided as a business draft for legal review. They are intended to govern the use of the SokoRahisi platform and should be reviewed by qualified legal counsel before publication.
1. Introduction
Welcome to SokoRahisi (“SokoRahisi”, “we”, “our”, or “us”).
These Terms & Conditions (“Terms”) govern your access to and use of the SokoRahisi website, mobile application and related services (collectively, the “Platform”).
By creating an account, placing a Bid, making a payment or otherwise using the Platform, you agree to be bound by these Terms, our Privacy Policy and the Auction Rules applicable to each Auction.
If you do not agree to these Terms, you should not use the Platform.
2. About SokoRahisi
SokoRahisi is a digital shopping platform that allows customers to participate in time-limited product auctions.
Customers browse products available on the Platform and place one or more paid Bids on products they wish to purchase.
Each successful Bid creates one valid electronic Bid Entry for the applicable Auction.
When an Auction closes, the SokoRahisi Auction System selects one valid Bid Entry in accordance with the published Auction Rules.
The owner of the selected Bid Entry earns the opportunity to purchase the advertised product at the published Purchase Price.
Unless otherwise stated, the Purchase Price displayed for an Auction is the amount payable by the selected bidder to complete the purchase.
3. Definitions
For these Terms:
Auction means a time-limited campaign for a specific product published on the Platform.
Auction Rules means the rules published for a particular Auction.
Bid means a paid electronic bid placed by a customer on a product.
Bid Entry means the electronic record created for every successfully completed Bid.
Bid Fee means the fee payable to submit one Bid.
Purchase Price means the amount payable by the selected bidder to purchase the advertised product.
Selected Bid means the Bid Entry selected by the Auction System.
Selected Bidder means the customer who owns the Selected Bid.
Auction System means the electronic system operated by SokoRahisi to manage Auctions, record Bid Entries and conduct the bid selection process.
4. Eligibility
To use the Platform you must:
be at least eighteen (18) years old;
have legal capacity to enter into a binding contract;
register a valid account;
provide accurate and complete information;
comply with these Terms and all Auction Rules.
SokoRahisi may refuse registration or suspend accounts where these requirements are not met.
5. Account Registration
You agree to:
provide accurate information;
maintain current account details;
keep your password confidential;
immediately notify us of unauthorized access to your account;
accept responsibility for activities conducted through your account.
You may not transfer or sell your account.
6. Auctions
Each Auction page will display:
Product description
Product images
Retail value (where applicable)
Purchase Price
Bid Fee
Auction opening date
Auction closing date
Countdown timer
Auction Rules
Any additional conditions applicable to that Auction.
SokoRahisi reserves the right to amend Auction details before the Auction closes where necessary.
7. Placing Bids
Customers may place one or more Bids during the Auction period.
Each successfully completed payment creates one valid Bid Entry.
Each Bid Entry represents one participation in the applicable Auction.
Multiple Bids create multiple Bid Entries.
Placing additional Bids does not guarantee selection.
Bid Fees are displayed before payment.
No Bid Entry is created until payment has been successfully confirmed.
8. Bid Fees
Bid Fees are payable immediately.
Unless otherwise stated:
Bid Fees are non-refundable;
Bid Fees are separate from the Purchase Price;
Bid Fees do not form part of the Purchase Price.
9. Auction Closing
When an Auction closes:
no further Bids are accepted;
all eligible Bid Entries are validated;
the Auction proceeds to the bid selection process.
10. Bid Selection
Following the close of an Auction, the SokoRahisi Auction System selects one valid Bid Entry in accordance with the applicable Auction Rules.
The owner of the Selected Bid becomes the Selected Bidder.
The Selected Bidder earns the opportunity to purchase the advertised product at the published Purchase Price.
Unless affected by fraud, technical malfunction or material error, the selection outcome is final.
11. Winner Notification
The Selected Bidder may be notified by:
Telephone
SMS
Email
Push Notification
Their SokoRahisi account
Customers are responsible for ensuring their contact information remains accurate.
Failure to respond within the specified period may result in forfeiture of the purchase opportunity.
12. Completing the Purchase
The Selected Bidder must:
confirm their identity;
confirm their delivery details;
complete payment of the Purchase Price within the period specified in the Auction Rules.
Failure to complete payment within the required period may result in the purchase opportunity being forfeited.
SokoRahisi may then deal with the product in accordance with the applicable Auction Rules.
13. Delivery
Once payment has been confirmed, SokoRahisi will arrange delivery or collection of the product.
Estimated delivery times are displayed on the Platform.
Delivery charges may apply unless otherwise stated.
Risk in the product passes to the customer upon delivery.
14. Refunds
Bid Fees are generally non-refundable.
Refunds may be issued where:
duplicate payments occur;
payment is received but no Bid Entry is created;
an Auction is cancelled by SokoRahisi;
applicable law requires a refund.
Approved refunds will be made through the original payment method where reasonably practicable.
15. Cancellation or Suspension of Auctions
SokoRahisi reserves the right to postpone, suspend or cancel an Auction due to:
fraud;
suspected fraud;
technical failures;
supplier issues;
legal or regulatory requirements;
force majeure;
circumstances beyond our reasonable control.
Where appropriate, affected customers may receive refunds.
16. Customer Responsibilities
Customers agree to:
provide truthful information;
comply with Auction Rules;
use the Platform lawfully;
refrain from fraudulent activity;
avoid interfering with Platform operations.
17. Fraud Prevention
SokoRahisi may investigate:
payment fraud;
identity fraud;
multiple accounts;
automated bidding;
collusion;
manipulation of Auctions;
abuse of promotions;
any conduct that compromises the integrity of the Platform.
Accounts may be suspended or permanently terminated.
Bid Entries obtained through fraud may be cancelled.
18. Intellectual Property
All software, trademarks, graphics, logos, text, content and technology remain the property of SokoRahisi or its licensors.
No content may be copied, reproduced or distributed without prior written permission.
19. Privacy
Personal information is processed in accordance with the SokoRahisi Privacy Policy.
By using the Platform, you consent to such processing.
20. Platform Availability
We aim to provide continuous service but do not guarantee uninterrupted availability.
Maintenance, upgrades or circumstances beyond our control may affect access.
21. Limitation of Liability
To the fullest extent permitted by law, SokoRahisi shall not be liable for indirect, incidental or consequential losses arising from use of the Platform.
Nothing in these Terms excludes liability where such exclusion is prohibited by applicable law.
22. Indemnity
You agree to indemnify and hold harmless SokoRahisi from claims arising from:
your breach of these Terms;
misuse of the Platform;
unlawful conduct;
infringement of third-party rights.
23. Force Majeure
SokoRahisi shall not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, internet failures, cyber incidents, strikes, government action or supplier disruptions.
24. Changes to these Terms
We may update these Terms from time to time.
Updated Terms become effective upon publication on the Platform.
Continued use of the Platform constitutes acceptance of the revised Terms.
25. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the Republic of Kenya.
26. Dispute Resolution
Customers should first contact SokoRahisi to allow us an opportunity to resolve any dispute amicably.
Where a dispute cannot be resolved, it may be referred to the competent courts of Kenya unless applicable law provides otherwise.

Customer Acknowledgement
By using the Platform, you acknowledge that:
you have read and understood these Terms;
you agree to the Auction Rules applicable to each Auction;
every successfully paid Bid creates one valid Bid Entry;
placing multiple Bids creates multiple Bid Entries but does not guarantee selection;
one valid Bid Entry will be selected after the Auction closes in accordance with the Auction Rules;
if your Bid Entry is selected, you earn the opportunity to purchase the advertised product at the published Purchase Price;
your participation is subject to these Terms, the applicable Auction Rules and all applicable laws.
